Terms of Service

1. Agreement to terms
By accessing or using the Mentric platform at www.mentriccoaching.com (the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you must not use the Service.
These Terms apply to all users of the Service, including coaches, coachees, administrators, and organisations ("you" or "User").
If you are using the Service on behalf of an organisation, you represent and warrant that you have the authority to bind that organisation to these Terms.
2. Description of service
Mentric is a software-as-a-service coaching platform that enables coaches and organisations to manage coaching engagements, schedule sessions, track goals, conduct assessments, gather feedback, and monitor progress. The platform provides tools for coaches, coachees, and administrators to collaborate within a structured coaching framework.
We reserve the right to modify, suspend, or discontinue any part of the Service at any time, with reasonable notice where practicable. We will make reasonable efforts to notify you of significant changes that may affect your use of the Service.
3. Account registration and responsibilities
To use the Service, you must create an account. When registering, you agree to:
- Provide accurate, current, and complete information during registration.
- Keep your account credentials secure and confidential.
- Notify us immediately if you become aware of any unauthorised access to your account.
- Accept responsibility for all activity that occurs under your account.
You must be at least 18 years of age to create an account. We reserve the right to suspend or terminate accounts that we reasonably believe contain false or misleading information.
4. Acceptable use
You agree to use the Service lawfully and in accordance with these Terms. You must not:
- Use the Service for any unlawful purpose or in violation of any applicable law or regulation.
- Attempt to gain unauthorised access to any part of the Service, other users' accounts, or our systems.
- Transmit any malicious code, viruses, or harmful software through the Service.
- Use the Service to harass, abuse, or harm other users.
- Scrape, data-mine, or extract content from the Service using automated means without our written permission.
- Resell, sublicense, or redistribute the Service or any part of it without our prior written consent.
- Interfere with or disrupt the integrity or performance of the Service.
We reserve the right to investigate and take appropriate action, including suspension or termination of your account, if we reasonably believe you have violated these Terms.
5. Intellectual property
Our intellectual property
The Service, including its design, software, text, graphics, logos, and all other content created by Mentric, is owned by or licensed to us and is protected by copyright, trade mark, and other intellectual property laws. You may not copy, modify, distribute, or create derivative works from any part of the Service without our express written permission.
Your content
You retain ownership of any content you create, upload, or input into the Service ("User Content"), including session notes, coaching records, assessments, and other materials. By using the Service, you grant us a limited licence to host, store, and display your User Content solely for the purpose of providing the Service to you.
We will not use your User Content for any other purpose, including training artificial intelligence models, without your explicit consent.
6. Payment and billing
Access to the Service requires a paid subscription. Pricing is based on a monthly platform fee plus a per-coachee rate, as detailed on our Pricing page. Enterprise plans may have custom pricing agreed separately.
- Billing cycle: subscriptions are billed monthly or annually, depending on the plan you select.
- Payment: payment is due at the beginning of each billing cycle. We accept major credit and debit cards. Enterprise customers may pay by invoice.
- Price changes: we may adjust our pricing from time to time. We will give you at least 30 days' notice before any price change takes effect. Continued use of the Service after the effective date constitutes acceptance of the new pricing.
- Taxes: all prices are exclusive of applicable taxes (including VAT) unless otherwise stated. You are responsible for any applicable taxes in your jurisdiction.
- Failed payments: if a payment fails, we will notify you and may restrict access to the Service until payment is received.
7. Cancellation and termination
Cancellation by you
You may cancel your subscription at any time through your account settings or by contacting us. Cancellation takes effect at the end of your current billing period. You will continue to have access to the Service until that date.
Termination by us
We may suspend or terminate your access to the Service immediately if you breach these Terms, fail to pay fees when due, or engage in activity that we reasonably believe may cause harm to other users or the Service.
Effect of termination
Upon cancellation or termination, you may export your data from the platform. After the end of your subscription period, we will retain your data for 30 days, after which it will be permanently deleted in accordance with our Privacy Policy.
8. Data protection
We take the protection of your personal data seriously. Our collection, use, and storage of personal data is governed by our Privacy Policy, which forms part of these Terms.
We process personal data in accordance with the UK General Data Protection Regulation (UK GDPR) and the Data Protection Act 2018. Where we process personal data on your behalf (for example, coaching data entered by your coachees), we act as a data processor and will process such data only in accordance with your instructions and applicable law.

9. Limitation of liability
To the maximum extent permitted by law:
- Our total liability to you for any claims arising out of or in connection with the Service shall not exceed the total fees paid by you in the 12 months immediately preceding the event giving rise to the claim.
- We shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or business opportunity, however caused.
- We shall not be liable for any loss or damage arising from circumstances beyond our reasonable control, including but not limited to failures of internet connectivity, third-party service providers, or force majeure events.
Nothing in these Terms excludes or limits our liability for death or personal injury caused by our negligence, fraud or fraudulent misrepresentation, or any other liability that cannot be excluded or limited by English law.
10. Disclaimers
The Service is provided on an "as is" and "as available" basis. While we strive to maintain a reliable and high-quality platform, we do not warrant that:
- The Service will be uninterrupted, error-free, or completely secure.
- Any defects will be corrected within a specific timeframe.
- The Service will meet your specific requirements beyond the features described on our website.
Mentric is a platform for managing coaching engagements. We are not a coaching provider and do not provide coaching advice, therapy, or professional recommendations. The quality of coaching delivered through the platform is the responsibility of the coach and their professional standards.
Any AI-powered features within the platform (such as session summaries or insights) are provided as tools to assist coaches and should not be relied upon as a substitute for professional judgement.
11. Changes to these terms
We may update these Terms from time to time. When we make material changes, we will notify you by updating the "Last updated" date at the top of this page and, where appropriate, by email or in-platform notification.
Your continued use of the Service after the updated Terms take effect constitutes your acceptance of the changes. If you do not agree to the updated Terms, you should stop using the Service and cancel your subscription.
12. Governing law and jurisdiction
These Terms are governed by and construed in accordance with the laws of England and Wales. Any disputes arising out of or in connection with these Terms or the Service shall be subject to the exclusive jurisdiction of the courts of England and Wales.
